1. Introduction
These Terms & Conditions (“Terms”) govern the use of services provided by Smart Entry Canada (“SEC”, “we”, “us”, “our”). By accessing our website or using any of our services, you (“Client”, “you”) agree to be bound by these Terms.
If you do not agree with these Terms, you may not use our services.
2. Scope of Services
SEC provides the following services, subject to availability:

Virtual Office services
-
Shared / Co-working Office services
-
Pallet Storage and space rental services
SEC provides space, address, and operational support services only.
SEC does not act as a warehouse operator, freight forwarder, customs broker, legal advisor, or financial advisor unless expressly stated in writing.
3. Eligibility & Client Information
Clients must:

Be legally permitted to operate a business in Canada or their jurisdiction.

Provide accurate, complete, and up-to-date identification and business information.
SEC reserves the right to:
-
Refuse service
-
Suspend or terminate service
if false, misleading, or unlawful information is provided.
4. Fees, Payment & Taxes

All fees are listed in Canadian Dollars (CAD) unless stated otherwise.

Applicable taxes (including HST) will be added as required by law.

Payments must be made in advance or according to the agreed billing cycle.

Late payments may result in:
-
Service suspension
-
Late fees
-
Termination of access
-
All fees are non-refundable unless explicitly stated in writing.
5. Term, Renewal & Cancellation

Services may be offered on a month-to-month or fixed-term basis.
-
Cancellation requires written notice (typically 15–30 days, as specified in your service agreement).
-
No refunds will be issued for partial months or unused time.
-
SEC reserves the right to terminate services immediately for breach of these Terms.
SERVICE-SPECIFIC TERMS
6. Virtual Office Services
6.1 Permitted Use
Clients may use SEC’s address for:

Business registration
-
Mailing address
-
Website and marketing materials
Clients may not use the address for:
-
Illegal, misleading, or fraudulent activities
-
Activities requiring physical presence unless permitted
6.2 Mail Handling
-
SEC may receive mail and parcels on behalf of the Client.
-
Mail will be held for a limited period (e.g. 30 days).
-
SEC is not responsible for delays, loss, or damage caused by postal or courier services.
-
Forwarding, scanning, or storage fees may apply.
6.3 No Legal Representation
SEC does not act as a registered agent, legal representative, or guarantor for the Client.
7. Shared Office Services
7.1 Access & Use
-
Office access is limited to approved hours and booking schedules.
-
Clients must comply with all posted house rules and safety policies.
7.2 Conduct
Clients must not:
-
Disrupt other users
-
Damage property
-
Use the space for unlawful or hazardous activities
7.3 Liability for Damage
Clients are responsible for any damage caused by themselves or their guests.
8. Pallet Storage & Storage Space Services
8.1 Nature of Service
SEC provides storage space rental only, unless otherwise agreed in writing.
SEC does not:

Guarantee inventory accuracy
-
Act as custodian, insurer, or warehouseman under the Warehouse Receipts Act
8.2 Permitted Goods
Stored items must be:
-
Properly packaged and labeled
-
Non-hazardous and legal
Prohibited items include (but are not limited to):
-
Dangerous or flammable goods
-
Illegal substances
-
Perishable food
-
Goods emitting strong odors
8.3 Client Responsibility
Clients are responsible for:
-
Insurance coverage of their goods
-
Compliance with all laws and regulations
-
Packaging, labeling, and pallet standards
8.4 Access & Handling
-
Storage access may require advance notice or appointment.
-
Handling services (if any) are provided without guarantee and at the Client’s risk unless agreed otherwise.
8.5 Unpaid Fees & Abandoned Property
If fees remain unpaid:
-
SEC may restrict access to stored goods.
-
Goods may be deemed abandoned after notice and handled in accordance with applicable Ontario law.
9. Insurance & Risk
SEC does not provide insurance for Client property.
Clients are strongly encouraged to maintain:

Commercial general liability insurance
-
Property or cargo insurance for stored goods
All goods are stored at the Client’s sole risk.
10. Limitation of Liability
To the maximum extent permitted by law:
-
SEC shall not be liable for indirect, incidental, or consequential damages.
-
SEC’s total liability shall not exceed the fees paid by the Client for the affected service.
11. Indemnification
Clients agree to indemnify and hold harmless SEC from any claims, losses, or damages arising from:

Client’s use of services
-
Stored goods
-
Violation of laws or these Terms
12. Privacy & Security
SEC collects and uses personal information in accordance with its Privacy Policy and applicable Canadian privacy laws (PIPEDA).
Security cameras may be used on premises for safety purposes.
13. Force Majeure
SEC is not responsible for failure or delay caused by events beyond reasonable control, including:

Natural disasters
-
Power outages
-
Government actions
-
Labour disruptions
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
15. Amendments
SEC may update these Terms from time to time. Continued use of services constitutes acceptance of the revised Terms.
