Smart Entry Canada (SEC)

1. Scope of Storage Services

Smart Entry Canada provides storage space rental only, unless otherwise agreed in writing.

SEC does not act as:

  • A warehouse operator

  • A custodian of goods

  • An insurer of stored items

Any additional handling services (receiving, moving, forklift use, picking) are provided on a best-effort basis and do not change the nature of the service unless expressly stated in a written agreement.

2. Permitted Use of Storage Space

Storage space may be used only for lawful commercial goods consistent with the Client’s declared business activity.

Stored goods must:

  • Be legal under Canadian law

  • Be properly packaged, palletized, and labeled

  • Comply with SEC’s size, weight, and safety requirements

3. Prohibited Goods

The following items are strictly prohibited unless approved in writing by SEC:

  • Hazardous, flammable, explosive, or corrosive materials

  • Illegal or controlled substances

  • Perishable food, organic materials, or live goods

  • Items emitting strong odors or posing contamination risks

  • Goods requiring temperature, humidity, or environmental control

  • Weapons, ammunition, or dangerous equipment

SEC reserves the right to refuse, remove, isolate, or dispose of prohibited goods at the Client’s expense.

4. Packaging & Pallet Requirements

Clients are responsible for ensuring that all goods:

  • Are stored on standard pallets in good condition

  • Are securely wrapped or strapped

  • Do not exceed maximum height or weight limits set by SEC

  • Display clear labels identifying ownership and contents

Improperly packaged goods may be rejected or repacked at the Client’s cost.

5. Access, Receiving & Removal of Goods

  • Access to storage areas is by appointment only, during SEC operating hours.

  • Receiving and release of goods may require advance notice.

  • SEC does not guarantee same-day access or handling.

Clients must ensure:

  • Accurate documentation for inbound and outbound goods

  • Timely removal of goods upon service termination

6. Inventory Responsibility

SEC does not:

  • Count, verify, or audit inventory

  • Guarantee inventory accuracy

  • Track quantities unless specifically agreed in writing

Clients are solely responsible for:

  • Inventory records

  • Stock accuracy

  • Compliance with their customers or partners

7. Insurance & Risk of Loss

All goods are stored at the Client’s sole risk.

SEC does not provide insurance coverage for:

  • Loss

  • Theft

  • Damage

  • Deterioration

Clients are strongly encouraged to maintain appropriate commercial property or cargo insurance covering stored goods.

8. Security & Premises

  • SEC maintains reasonable security measures, including controlled access and surveillance cameras.

  • Security measures do not constitute a guarantee against loss or damage.

Clients may not:

  • Disable or interfere with security systems

  • Access restricted or unauthorized areas

9. Fees, Payment & Late Accounts

  • Storage fees are charged in advance.

  • Failure to pay fees may result in:

    • Suspension of access

    • Restriction on goods release

    • Additional storage or handling charges

All outstanding fees must be settled before goods are released.

10. Unpaid Fees, Lien & Abandoned Goods

If storage fees remain unpaid:

  • SEC may deny access to stored goods.

  • Goods may be deemed abandoned after reasonable notice.

  • SEC may take action permitted under applicable Ontario law, including removal or disposal of goods.

SEC is not responsible for loss resulting from enforcement actions related to unpaid accounts.

11. Client Conduct & Safety

Clients and their representatives must:

  • Follow all posted warehouse rules and safety instructions

  • Use personal protective equipment where required

  • Not operate equipment (e.g. forklifts) without authorization

Unsafe conduct may result in immediate suspension of access.

12. Limitation of Liability

To the maximum extent permitted by law:

  • SEC is not liable for indirect, incidental, or consequential damages.

  • SEC’s total liability is limited to the amount of storage fees paid by the Client for the affected period.

13. Indemnification

Clients agree to indemnify and hold harmless SEC from any claims, damages, or losses arising from:

  • Stored goods

  • Client’s breach of these Storage Terms

  • Violation of laws or safety regulations

14. Amendments

SEC reserves the right to update these Storage Terms & Warehouse Rules at any time.

Updated versions will be posted on the website and take effect immediately.

15. Governing Law

These Storage Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
